Supplemental Terms for Sellers

The following Supplemental Terms for Sellers ("Seller Terms") apply to you when you list Resale Tickets for purchase by other users ("Buyers") on our Services. If you are a professional seller that is part of our Seller Direct Program, separate seller terms that govern the Seller Direct Program apply. These Seller Terms incorporate SeatGeek's Terms of Use ("Terms of Use" with these Seller Terms, collectively, "Terms") by reference. If the Terms of Use are inconsistent with these Seller Terms, these Seller Terms shall control with respect to the subject matter contemplated herein. Any capitalized terms used herein that are undefined have the meaning given to such terms in the Terms of Use.

1. Seller Responsibilities and Ticket Listing Requirements

  1. Resale Ticket Listings. By listing a Resale Ticket, you are making a binding offer to sell that Ticket to a Buyer at the listed price. If a Buyer accepts your offer by purchasing the Ticket via the Services, you are bound to deliver the Ticket to the Buyer at the listed price and within the required timeframe. Once your Ticket is purchased by the Buyer, you no longer have any rights to the Ticket, including admission into the event. You are expressly prohibited from cancelling any order with a Buyer once a Buyer has purchased your Ticket. You are responsible for monitoring your own inventory of Tickets, and ensuring that the information you provide for the Ticket listing is accurate, complete, and up-to-date.
  2. Resale Ticket Price. You set the price of your Ticket. If you opt into using SeatGeek's Smart Pricing, you determine how you want your Tickets to be priced by us. At any time prior to a Buyer purchasing your Ticket, you may raise or lower the price of your Ticket, opt out of SeatGeek's Smart Pricing, or update or delete your listing.
  3. Ticket Listing and Disclosure Requirements. You must provide accurate, complete, and timely information that is required for each listing, and must ensure that such information remains accurate, complete, and up-to-date at all times the listing is active. Such information includes the name and date of the event, and section, row, and seat number. You must also list all required disclosures related to your Tickets, such as: limited or obstructed views; possible obstructions; wheelchair seating, wheelchair only, wheelchair accessible, or other type of accessible seating; alcohol-free section; behind or side stage; or 21 and over event. SeatGeek reserves the right to remove or suspend your listing for any reason, including if your listing is inaccurate or misleading, or if you violate the Terms or any SeatGeek policy.
    1. Original Ticket Price Disclosure: You acknowledge that certain laws may require the disclosure of the original ticket price you paid for the Resale Ticket you are listing. Accordingly, when so required, SeatGeek will request the original ticket price of a Resale Ticket from you and you agree to provide this information truthfully.
  4. Prohibited Listings. You are expressly prohibited from listing for sale via the Services:
    1. Tickets that you do not actually have in your possession;
    2. stolen Tickets;
    3. Hardstock or physical paper Tickets, and "will call only" Tickets;
    4. Tickets for non-consecutive seats in the same listing;
    5. Tickets with rotating or changing barcodes that were not originally issued by SeatGeek or by Event Partners with whom SeatGeek has a direct integration that allows for the transfer of such Tickets, unless resale of such Tickets has been enabled by the functionality of the Services in SeatGeek's discretion;
    6. Tickets without event access, such as party passes, club passes, and pit passes (and as determined in SeatGeek's discretion);
    7. Tickets that were purchased using bot technology or automated ticket purchasing software, or by circumventing security measure, access control system, Purchase Limit, or other technological control or measure set by the original issuer of such Ticket; and
    8. Tickets that were originally offered as free to the public.
  5. Ticket Delivery. To ensure all SeatGeek users have a great experience, you must promptly deliver your Ticket to the Buyer within the required deadline in accordance with instructions provided by SeatGeek. You are responsible for monitoring your email, Account notifications, and other correspondence from SeatGeek that will contain important information on how your Tickets should be delivered. If you believe that you will not be able to deliver Tickets you have sold to a Buyer for any reason or within the required deadline, you must report the issue to SeatGeek immediately at hi@seatgeek.com so that we can attempt to resolve the matter. You acknowledge that merely reporting any issues you are experiencing in accordance with the prior sentence does not relieve you of your obligations to the Buyer or SeatGeek, and SeatGeek may still treat your sale as an Unfulfilled Order (defined below) as provided for in Section 3(a) (Unfulfilled Orders) below in its sole determination. We reserve the right to suspend or terminate your Account, or take any other action permitted under the Terms, if we determine, in our sole discretion, that you have repeatedly failed to deliver Tickets in accordance with these Seller Terms.
  6. List Valid Tickets. You are responsible for making sure that the Tickets you list on our Services are authentic and valid for entry, and you have the right to list them for sale through our Services. To that end, by making a listing on our Services, you represent and warrant that: (i) all Tickets you list on the Services (1) are authentic and valid for entry, (2) are in your actual possession, (3) are transferable to Buyers, and (4) comply with applicable law; (ii) you have provided all required information and disclosures applicable for each listing (and you will update your listing with any information or disclosure that may become required or necessary); (iii) all information you provide for a listing is truthfully provided, and is complete, accurate, and up-to-date; (iv) you have the right to sell the Tickets you list on the Services; and (v) your sale of any Tickets via the Services does not, and will not, violate the rules or terms and conditions of any third party, such as any venue, team, or event promoter, or any applicable law.
  7. Cross Listing. Unless enabled by the functionality of the Services, you may not list any Tickets listed through the Services on any other marketplace, venue, site, platform, channel, or medium while such Tickets are available on the Services.
  8. Event Cancellations. In case of a Canceled Event, we will notify you and remove your listings. If your Ticket to the Canceled Event has already been purchased, SeatGeek will cancel the order and to the extent you have already received payment for the Ticket, you are required to refund the payment back to SeatGeek. To that end, you agree that SeatGeek may recover such amount by charging your payment method on file or by setting off this amount against any pending payments to you. If no valid payment method is on file, you agree to provide SeatGeek with a valid payment method to charge you for such amount or transfer such amount to SeatGeek as instructed by it. If you are unwilling to or prevent us from recovering such payment, we may suspend your ability to sell on SeatGeek, withhold future payments, suspend or terminate your Account, and take any other action permitted by the Terms. If you require your Ticket back to obtain a refund from the primary ticket issuer, you must contact SeatGeek at hi@seatgeek.com within two weeks of the event cancellation date. SeatGeek will make good faith efforts to retrieve the Tickets from the Buyer if requested to do so, but assumes no liability and makes no guarantee that such Tickets will be returned to you.
  9. Postponements. If an event is postponed and the original Tickets remain valid for entry, your listing will continue to be available for sale. If your Tickets have already been sold prior to the event being postponed, those Tickets will remain sold and you remain obligated to deliver the Tickets by the required deadline. If the venue or primary ticket issuer requires new Tickets for the rescheduled event and you have already delivered the original Tickets to the Buyer, we will notify you on how to deliver the new Tickets to the Buyer. If you do not send the Tickets, including if new Tickets are required, for the rescheduled event in a timely manner or the Buyer is denied entry to the event because you did not send the correct Tickets, your order will be treated as an Unfulfilled Order as provided for in Section 3(a) (Unfulfilled Orders) below. If refunds are being offered by the venue or primary ticket issuer for the postponed event, or there are material changes to the event, such as change of venue location or performer, SeatGeek may, in its sole discretion, treat such event as a Canceled Event as provided in Section 1(h) (Event Cancellations) above. Certain laws require refunds for postponed events upon the Buyer's request and in such case, if a Buyer requests a refund, SeatGeek may treat the Buyer's order as being subject to a Canceled Event as provided in Section 1(h) (Event Cancellations) above.
  10. Interactions with Buyers. We may provide you with information related to Buyers, such as their contact information, so that you can send Tickets to them. Such information is strictly confidential, and you are prohibited from using such information for any purpose other than delivering Tickets to Buyers or sharing it with anyone. You shall not include, in any shipment to any Buyer, any materials other than the purchased Tickets, including business cards, bookmarks, coupons, flyers, solicitations, contact information, or any other marketing or advertising materials. You may not contact the Buyer directly for any reason and all communications with Buyer must go through SeatGeek.
  11. Not All Tickets Eligible for Resale. Not all Tickets are eligible for resale through the Services, including Tickets originally bought on SeatGeek. Restrictions on reselling Tickets may be set by SeatGeek, or as required by Event Partners or other third-party teams, leagues, promoters, artists, or venues. Such restrictions may change from time to time and it is your responsibility to monitor for these updates. If your Ticket is eligible for resale through the Services, resale will be enabled for such Ticket in your Account.
  12. Proof of Purchase and Transfer. SeatGeek reserves the right to request proof of purchase and transfer of Ticket for any listings you make on the Services at any time. If you refuse to, or are unable to, provide sufficient proof of purchase of valid and authentic Tickets or successful transfer of your Ticket to the Buyer within the time provided by SeatGeek, SeatGeek may, in its sole discretion, remove or suspend your listing, cancel your order, suspend or terminate your Account, or take any other action permitted under the Terms. To ensure the integrity of the Services and safety to our Buyers, SeatGeek does not tolerate fake or fraudulent Tickets and Speculative Ticketing, and reserves the right to take any action permitted under the Terms or applicable law against Sellers listing such Tickets.
  13. No Guarantee. We do not guarantee that any Tickets you list on the Services will sell (including selling within a specific amount of time or for a particular price), or that any Buyer will complete any transaction with you or be able to pay for your Tickets. Furthermore, we do not guarantee that any Tickets will be listed on our Services in any particular way or order or with any preference, or will appear on the Services within a certain period of time. For the avoidance of doubt, this section applies to your use of SeatGeek's Smart Pricing and you acknowledge that the use of Smart Pricing does not guarantee that your Tickets will sell within a specific amount of time, for a particular price, or at all.
  14. Removal of Listing. To ensure you have sufficient time to deliver Tickets to the Buyer, SeatGeek may remove your listing, if SeatGeek determines, in its sole discretion, that the event start time is too close.

2. Seller Eligibility

In order to list a Ticket on our Services and receive a Payout (defined below) from the sale of such Ticket, you acknowledge and agree that you must:

  1. Have an account with SeatGeek;
  2. Have a valid U.S. or Canadian bank account;
  3. Provide all information and documentation required by SeatGeek or its payment processors, such as personal identification information and bank account details, to list and distribute payment to you; and
  4. Be in good standing and be compliant with the Terms and SeatGeek policies at all times.

You acknowledge and agree that, as a condition precedent to being entitled to any amounts relating to a Payout from the sale of a Ticket on our Services, you will be in full compliance with the Terms, including, for example, the above eligibility requirements, and you will not be entitled to any Payout amounts if you are not compliant with the Terms. You agree that any amounts relating to a Payout from the sale of a Ticket on our Services that you are not eligible to receive will remain the property of SeatGeek, to the fullest extent permissible under applicable law.

3. Unfulfilled Orders and Invalid Tickets

  1. Unfulfilled Orders. You are fully responsible for ensuring that Tickets are delivered promptly to the Buyer by the required deadline and are valid for entry. Accordingly, to the extent the Buyer does not receive the Ticket at all or does not receive the Tickets within the required deadline, the Tickets are not delivered in accordance with the instructions provided by SeatGeek, the Tickets do the match the description provided in the listing, the Buyer is unable to gain entry into the event with the Ticket you sold, or the Ticket you sold is in any other way inaccessible, unusable or defective, such order will be deemed an "Unfulfilled Order" in SeatGeek's sole discretion. For all Unfulfilled Orders, SeatGeek reserves the right to: (i) cancel the order, withhold your Payout, or charge you for the Payout you may have received already; and (ii) recover any expenses incurred by SeatGeek to remedy the Unfulfilled Order including, but not limited to, the cost of replacement tickets, delivery fees, or credits, coupons or other costs required to compensate the Buyer for their bad experience. You agree that SeatGeek may recover the foregoing Payout and costs by charging any payment method on file or by setting off this amount against pending payments. If no valid payment method is on file, you agree to provide SeatGeek with a valid payment method to charge you for such amount or transfer such amount to SeatGeek as instructed by it. If you are unwilling to or prevent us from recovering such amount, or SeatGeek determines in its sole discretion that the amount of Unfulfilled Orders are above acceptable levels, we may suspend your ability to sell on SeatGeek, withhold future payments, suspend or terminate your Account and take any other action permitted by the Terms or applicable law to collect such payment.
  2. Invalid Tickets. To the extent a Buyer is unable to gain entry into the event with the Ticket you sold, we may investigate the cause of the issue, and reach out to you for more information and documentation as needed. If SeatGeek determines, in its sole discretion, that the venue, primary ticket issuer or event organizer is solely responsible for the invalid Ticket, notwithstanding Section 3(a) (Unfulfilled Orders) above, such order will not be treated as an Unfulfilled Order for purposes of these Seller Terms.
  3. Retransfer Requests. If a Buyer does not receive your Ticket or otherwise requires them to be delivered again, upon SeatGeek's request, you will promptly redeliver such Ticket. Failure to redeliver the Ticket in a timely manner will be deemed an Unfulfilled Order as provided for in Section 3(a) (Unfulfilled Orders) above. SeatGeek reserves the right to request proof of transfer as provided under Section 1(l) (Proof of Purchase and Transfer) above.
  4. Noncompliance. For any abuse of the Services, suspected fraudulent activity, or failure to comply with the Terms or applicable law, SeatGeek reserves the right in its sole discretion to remove or suspend your listings, cancel your order, withhold or charge you for any Payout (including, by charging your payment method on record or by setting off this amount against pending payments), suspend your ability to use the Services to list tickets, suspend or deactivate your Account, ban you from the Services, and take any other action permitted under the Terms. SeatGeek also reserves the right in its sole discretion to levy any fees or penalties for any Unfulfilled Orders or violations of these Terms.

4. Payments to Sellers; Taxes

  1. Payouts. Following the event, our receipt of Buyer's payment, and subject to the satisfaction of all of your obligations under the Terms, including, without limitation, providing us with all the required information and documentation necessary to list a Ticket and distribute payment, we will remit to you the applicable payout, less any fees, charges, set-off, and other amounts due to us in accordance with these Seller Terms (the "Payout"). You are not entitled to any Payout for any sale of a Ticket, if you are in breach of, or have not otherwise fulfilled, your obligations under the Terms, including having a valid bank account or payout method on file and providing information described in Section 4(b) (Requisite Information) below. SeatGeek reserves the right to temporarily or permanently withhold any Payout from you for any violations (or suspected violations) of the Terms or any SeatGeek policy, or for fraudulent activity (or suspected fraudulent activity).
  2. Requisite Information. You may make Payouts from your Account only to a U.S. or Canadian bank account in your name. Payouts cannot be made to credit or debit cards. In connection with a Payout, you may be required to provide us with certain personal information, including, but not limited to, your name, address, telephone number, email address, date of birth, taxpayer identification number, social security number, government identification number, photograph of your government-issued ID or other photographic proof of your identity, and information regarding any external bank account that you link to your Account. You hereby authorize SeatGeek, directly or through a service provider, to make any inquiries necessary to verify your identity or protect against fraud, and take reasonably necessary actions to comply with applicable law. You further authorize any and all third parties to which such inquiries or requests may be directed to fully respond to such inquiries or requests.
  3. No Interest. You will not receive any interest or any other earnings on any funds held in your Account.
  4. Taxes. You are responsible for calculating, collecting, and remitting all applicable taxes in connection with the sale of your Tickets. Except where required by law, we are not responsible in any way for the accuracy or suitability of any payment of any applicable taxes on your behalf. You agree to provide SeatGeek with any tax identification number necessary for SeatGeek as required by relevant tax authorities, and you further authorize SeatGeek to provide information to any government agency or body relating to any of your transactions through the Services. In accordance with applicable law, by listing a Ticket to any event subject to such law and providing the total price you paid for the Ticket, you certify to SeatGeek that the sales tax imposed on your original purchase of the Ticket was paid.
